achieve this goal, consider the following:
First:
RMS INT.L's mission is to provide innovative, quality solutions at a
fair price. It is clear that this can only be achieved through a
team effort by RMS INT'L, our Distributors and the end-user Customers.
This close partnership has been the cornerstone of our past success,
and we believe that it will be even more important in the future.
Second:
In response to new technologies and market opportunities, RMS INT.L's
product line is richer and more diverse than ever. We offer over
1000 products!
Naturally, many Distributors have specialized in a certain products
and markets with great success while only a few can claim expertise in
all areas.
In
fact, many products are sold through organizations with little
interest in the broad product line. Hence, our Distributing Program
promotes a focused support for these diverse markets. And
now , we are selling some product lines, in the supermarket
distribution channels.

Third:
The energy marketplace is becoming increasingly professional and
competitive. As the products become more sophisticated, customers are
demanding systems solutions and increased vendor support. In
response, we have forged a close relationship with our Distributors
to properly reward those who effectively promote and support RMS INT'L
solutions .
Fourth:
To ensure that our Distributors have the expected levels of product
knowledge and support capability, Distributors are authorized for
specific market-oriented Product Groups (rather than across the board
for all RMS products). Distributors may be authorized in one or
multiple product areas.
Fifth:
To ensure that our Distributors
maintain a competitive edge, discounts are available within and
between product groups.
Sixth:
Distributors
Authorization is a signed Agreement outlining the responsibilities of
both parties. This Agreement will be annually renewable and may
be exclusive.
Seventh:
For selected Product Groups and in selected geographical areas, a
limited number of Distributors
Agreements will be implemented.
Eighth:
To enable RMS INT'L to better support the increasingly focused
approach of our most successful Distributors
in certain markets, the Distributors Agreement involves cooperative
promotional efforts, mandatory product training, and other conditions
in exchange for enhanced discount structures.
